TruckMind Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of the TruckMind platform,
website, applications, modules, dashboards, data products, reports, APIs, communication tools,
mobile applications, and related services collectively referred to as the “Platform” or
“TruckMind”, provided by Wrab Tech, a California S-Corporation with its principal business
address at 17908 Murphy Pkwy, Lathrop, CA 95330.
By creating an account, clicking “I Agree,” signing an Order Form, accessing the Platform, or
using any TruckMind service, you agree to these Terms on behalf of yourself and, if applicable,
the company or organization you represent. If you are accepting these Terms on behalf of an
organization, you represent that you have authority to bind that organization.
If you do not agree to these Terms, do not create an account or use the Platform.
1. Agreement Structure
These Terms apply to online signup and general Platform use. If Customer signs a separate
Master SaaS Subscription Agreement, Order Form, Statement of Work, Data Processing Agreement,
Acceptable Use Policy, or other written agreement with Wrab Tech, those documents will also apply.
If there is a conflict between these Terms and a signed agreement, the signed agreement controls
for that Customer to the extent of the conflict. If there is a conflict regarding Customer Data
or Personal Information, the applicable Data Processing Agreement controls for that data-processing issue.
The following documents may be incorporated into Customer’s agreement with Wrab Tech:
- These Terms and Conditions
- The applicable Order Form or online subscription checkout
- The TruckMind Acceptable Use Policy
- The TruckMind Privacy Policy
- The TruckMind Data Processing Agreement, where applicable
- Any signed addendum, statement of work, or custom package agreement
2. Description of the Platform
TruckMind is a trucking operations, safety intelligence, compliance, outreach, and data workflow platform.
Depending on the subscription tier or modules purchased, the Platform may include features such as:
- Dispatch and load management
- Driver, owner, dispatcher, and administrative workflows
- Broker TMS workflows
- Carrier onboarding, carrier packet, and vetting workflows
- Safety intelligence reports
- DOT, FMCSA, inspection, violation, crash, insurance, equipment, and carrier-profile data
- Document storage, parsing, and workflow automation
- Billing, invoicing, payroll, settlement, and financial workflow assistance
- GPS, ELD, telematics, mileage, fuel, or third-party integrations
- Email, outreach, CRM, campaign, and communication tools
- Analytics, dashboards, alerts, and AI-assisted insights
Available features may vary by subscription, package, role, account configuration, integration
availability, usage limits, and product maturity.
3. Definitions
Customer Data means information, data, documents, files, content, or materials that Customer or its users submit, upload, input, transmit, or store in the Platform.
Platform Data means public-source, FMCSA, third-party, Wrab Tech-compiled, enriched, normalized, calculated, derived, or analyzed trucking, carrier, safety, compliance, insurance, contact, equipment, inspection, violation, authority, crash, operating-status, and related metadata made available through the Platform.
Licensed Users means individuals authorized by Customer to access the Platform under Customer’s account.
Services means access to the Platform, modules, software, dashboards, APIs, updates, reports, documentation, support, and related services provided by Wrab Tech.
Subscription Term means the period during which Customer is authorized to access the Platform under an Order Form, subscription checkout, or other written arrangement.
Financial Outputs means invoices, settlements, payroll calculations, rate confirmations, billing statements, financial summaries, pricing estimates, payment records, revenue calculations, cost calculations, or other finance-related outputs generated or assisted by the Platform.
4. Eligibility and Account Registration
To use TruckMind, you must provide accurate account information and maintain the accuracy of that information.
Customer is responsible for all activity under its accounts, including activity by employees, contractors,
agents, administrators, dispatchers, drivers, owners, brokers, managers, or any other authorized users.
Customer must:
- Maintain confidentiality of login credentials
- Use commercially reasonable password and access-control practices
- Immediately notify Wrab Tech of unauthorized account access, suspected compromise, or credential misuse
- Ensure that each user accesses the Platform only through authorized credentials
- Ensure that all users comply with these Terms and applicable policies
Credential sharing, unauthorized access, multi-account circumvention, or bypassing usage restrictions is prohibited.
5. Subscription Access and License
Subject to these Terms, payment of applicable fees, and compliance with all usage restrictions, Wrab Tech grants
Customer a limited, non-exclusive, non-transferable, non-sublicensable right for Licensed Users to access and use
the Platform during the applicable Subscription Term solely for Customer’s internal business operations.
This license does not transfer ownership of the Platform, Platform Data, software, code, workflows, reports,
analytics, designs, documentation, algorithms, models, trademarks, or intellectual property.
Wrab Tech reserves all rights not expressly granted.
6. Customer Responsibilities
Customer is responsible for:
- Its business decisions, carrier decisions, underwriting decisions, dispatch decisions, safety decisions, compliance decisions, billing decisions, payroll decisions, settlement decisions, and outreach decisions
- The accuracy, legality, and completeness of Customer Data
- Reviewing all Platform outputs before relying on them
- Obtaining any required consents, authorizations, or permissions for data uploaded to the Platform
- Complying with applicable laws, regulations, contracts, employment obligations, labor obligations, privacy obligations, commercial solicitation rules, and industry requirements
- Training users on proper Platform use
- Maintaining internal controls, accounting controls, compliance controls, payroll controls, and operational review processes
TruckMind is a workflow and intelligence platform. It does not replace Customer’s legal, compliance, accounting,
payroll, tax, insurance, underwriting, safety, or operational judgment.
7. Platform Data and Use Limitations
TruckMind may provide access to Platform Data, including public-source, FMCSA, third-party, enriched, normalized,
analyzed, or Wrab Tech-compiled trucking data. Platform Data may include carrier profiles, DOT information,
authority status, safety ratings, inspection history, violation history, crash data, insurance information,
equipment information, operating characteristics, contact information, risk indicators, safety grades, and related analytics.
Customer acknowledges that Platform Data may be collected from public sources, government sources, third-party sources,
data providers, and Wrab Tech’s own compilation, normalization, and analysis processes. Wrab Tech does not guarantee
that Platform Data is complete, current, error-free, uninterrupted, or suitable for every use case.
Customer may use Platform Data only:
- Internally
- For Customer’s permitted trucking, dispatch, broker, safety, compliance, underwriting, insurance, operational, or outreach workflows
- In accordance with the applicable subscription tier and usage limits
- In compliance with applicable laws and these Terms
Customer may not use Platform Data to:
- Build, train, benchmark, test, or improve a competing product, service, model, data engine, AI system, ML system, LLM, classifier, underwriting engine, safety scoring engine, marketing list, or carrier intelligence database
- Create a trucking data marketplace, broker data marketplace, carrier data marketplace, or safety intelligence product
- Resell, redistribute, sublicense, rent, publish, or commercially exploit Platform Data outside Customer’s internal operations
- Mass-copy, cache, replicate, export, scrape, or harvest Platform Data except as expressly permitted in writing
- Populate third-party CRMs, outreach systems, email tools, phone systems, analytics engines, or external databases unless expressly permitted by subscription tier or written addendum
- Continue using Platform Data after termination or non-renewal unless legally required and expressly permitted
8. Acceptable Use
Customer and users must comply with the TruckMind Acceptable Use Policy. Without limiting that policy, Customer may not:
- Use the Platform for unlawful, deceptive, harmful, fraudulent, abusive, or unauthorized purposes
- Interfere with Platform functionality, integrity, performance, availability, or security
- Upload viruses, malware, ransomware, harmful scripts, phishing content, or malicious code
- Probe, scan, penetration-test, or attempt to bypass security controls without written authorization
- Access or attempt to access another customer’s data
- Use bots, crawlers, scripts, headless browsers, RPA tools, or automated workflows to extract data, simulate usage, trigger exports, generate reports, or bypass restrictions
- Circumvent seat limits, search limits, report limits, email limits, API limits, export limits, or fair-use thresholds
- Use the Platform to harass, spam, mislead, impersonate, or engage in abusive outreach
- Use the Platform in a way that places Wrab Tech at regulatory, legal, operational, reputational, or security risk
Wrab Tech may throttle, restrict, suspend, or terminate access if it reasonably believes Customer has violated these Terms,
the Acceptable Use Policy, applicable law, or applicable usage limits.
9. Outreach, Email, Texting, and Communication Compliance
Some TruckMind modules may support email outreach, sales CRM, campaign management, templates, contact workflows,
bulk sending, AI email writing, or related communication tools.
Customer is solely responsible for ensuring that all outreach activities comply with applicable laws and rules, including where applicable:
- CAN-SPAM
- TCPA
- Do-Not-Call rules
- CCPA/CPRA
- State privacy and solicitation laws
- Commercial email, phone, SMS, and marketing rules
- Consent, opt-out, unsubscribe, suppression-list, and sender-identification requirements
Customer may not use TruckMind to send unlawful, deceptive, misleading, non-consented, abusive, harassing, or
non-compliant outreach. Customer may not upload purchased, scraped, or non-consented lists for bulk campaigns
unless Customer has all necessary rights and legal basis to use those lists.
Wrab Tech does not provide legal advice regarding outreach compliance.
10. AI-Assisted and Automated Features
TruckMind may include AI-assisted, automated, algorithmic, rules-based, or analytics-based features, including
document parsing, email reading, load building, safety recommendations, carrier risk scoring, violation summaries,
financial summaries, workflow alerts, and operational recommendations.
Customer acknowledges that these features are workflow assistance tools only. Outputs may be incomplete, inaccurate,
outdated, misclassified, misinterpreted, or dependent on Customer Data, third-party data, public data, configuration,
integrations, or system availability.
Customer is solely responsible for reviewing, validating, approving, correcting, and authorizing all outputs before use,
reliance, communication, filing, billing, payment, dispatch, underwriting, safety action, compliance action, or operational decision.
TruckMind does not guarantee cost savings, risk reduction, compliance outcomes, underwriting outcomes, insurance outcomes,
operational performance, revenue improvement, profitability, financial accuracy, dispatch accuracy, safety improvement, or legal compliance.
11. Financial Outputs, Billing, Payroll, and Settlements
TruckMind may assist with invoices, billing, rate confirmations, settlements, payroll calculations, driver pay,
owner-operator pay, factoring workflows, payment tracking, financial summaries, and reporting.
These features are provided for operational convenience only and do not replace Customer’s accounting systems,
payroll systems, financial controls, contracts, labor-law obligations, tax review, management approval, or professional advice.
Customer is solely responsible for:
- Reviewing all Financial Outputs
- Verifying rates, deductions, reimbursements, accessorials, detention, layover, advances, fuel, miles, taxes, commissions, settlements, and payroll entries
- Confirming that payments and invoices comply with contracts, labor laws, tax laws, employment laws, owner-operator agreements, broker-carrier agreements, customer agreements, and internal policies
- Approving Financial Outputs before transmission, payment, collection, filing, export, or reliance
- Correcting errors before use
Wrab Tech is not responsible for financial loss, overpayment, underpayment, chargeback, billing dispute, payroll discrepancy,
tax issue, accounting error, settlement error, customer dispute, carrier dispute, driver dispute, or other loss arising from
Customer’s use of, reliance on, or failure to review Financial Outputs.
12. Integrations and Third-Party Services
TruckMind may integrate with third-party systems, including ELD providers, telematics providers, fuel platforms,
email providers, cloud services, payment systems, accounting systems, mapping providers, data providers,
government data sources, CRMs, APIs, or other software.
Customer acknowledges that third-party services are not controlled by Wrab Tech. Availability, accuracy, performance,
downtime, changes, pricing, permissions, API limitations, security, and data handling of third-party services are
governed by those third parties.
Wrab Tech is not responsible for third-party service failures, outages, data errors, API changes, integration limits,
authentication issues, or third-party terms.
Customer is responsible for maintaining valid third-party accounts, permissions, credentials, API access, and legal rights required for integrations.
13. Fees, Billing, and Payment
Fees are stated in the applicable Order Form, online checkout, subscription page, invoice, or signed agreement.
Unless otherwise stated:
- Fees are due in advance for each billing period
- Fees are non-refundable
- Fees may be based on modules, users, trucks, drivers, reports, loads, usage tiers, APIs, email limits, custom packages, implementation, support, or add-ons
- Customer must provide accurate billing information
- Customer authorizes Wrab Tech or its payment processor to charge applicable fees, taxes, and recurring subscription amounts
- Wrab Tech may suspend access for overdue accounts
Accepted payment methods may include ACH, credit card, or other methods approved by Wrab Tech.
14. Subscription Term, Renewal, and Cancellation
Subscriptions may be monthly, annual, usage-based, custom, or otherwise specified in the applicable Order Form or checkout flow.
Unless otherwise stated in the applicable subscription terms:
- Monthly subscriptions renew month-to-month until cancelled
- Annual subscriptions renew for successive annual periods until cancelled
- Cancellation requires 30 days’ prior written notice
- Customer remains responsible for fees incurred before the effective cancellation date
- Fees already paid are non-refundable
- Upon termination, Customer must stop using the Platform and delete Platform Data unless legally required to retain it
For online self-serve subscriptions, cancellation instructions may be provided through the account dashboard,
billing portal, or written notice process.
15. Trials, Pilots, Beta Features, and Sandbox Access
Wrab Tech may provide trials, pilots, proofs of concept, sandbox access, beta features, test accounts, demo environments,
or early-access modules. These are provided for evaluation only unless otherwise agreed.
Trials, pilots, beta features, and sandbox environments may be limited, modified, suspended, or discontinued at any time.
They may contain bugs, incomplete features, limited data, test data, configuration issues, or reduced support.
Customer may not use sandbox, pilot, beta, or demo access for production operations unless Wrab Tech expressly authorizes such use in writing.
16. Support, Maintenance, and Service Changes
Wrab Tech may provide support based on Customer’s subscription tier, custom package, or signed agreement.
Support may include email support, phone support, onboarding assistance, implementation support, training,
priority support, or custom support.
Wrab Tech may modify, improve, remove, limit, suspend, replace, or discontinue features from time to time.
Wrab Tech may perform maintenance, updates, security changes, infrastructure changes, or emergency fixes that affect Platform availability.
Wrab Tech does not guarantee uninterrupted or error-free service unless expressly stated in a signed service-level agreement.
17. Customer Data
Customer retains ownership of Customer Data. Customer grants Wrab Tech a limited right to host, process, transmit,
display, store, back up, analyze, and use Customer Data as necessary to provide, secure, support, improve,
and maintain the Platform and Services.
Customer represents that it has all rights, permissions, consents, and legal bases required to upload, transmit,
process, and use Customer Data in TruckMind.
Customer may not upload data containing confidential, sensitive, regulated, or personal information unless Customer has
appropriate rights and permissions and the upload is permitted under Customer’s subscription and applicable law.
18. Data Processing and Privacy
Wrab Tech processes Customer Data and Personal Information as described in the Privacy Policy and, where applicable,
the Data Processing Agreement.
Where Wrab Tech processes Personal Information on behalf of Customer, Customer is generally responsible for determining
the purposes and means of processing, and Wrab Tech acts as service provider or processor for that Customer Data,
subject to the applicable agreement.
Wrab Tech does not sell Customer Data. Wrab Tech does not use Customer Data for cross-context behavioral advertising.
Wrab Tech does not use Customer Data to build unrelated advertising profiles.
19. Security
Wrab Tech maintains reasonable administrative, technical, and physical safeguards designed to protect the Platform
and Customer Data. Security measures may include encrypted transmission, secure credential controls, access controls,
logging, least-privilege access, cloud infrastructure safeguards, backups, monitoring, and incident response processes.
No system is perfectly secure. Customer is responsible for account-level security practices, user access, role permissions,
password practices, endpoint security, and prompt reporting of suspected compromise.
20. Confidentiality
Each party may receive non-public business, technical, financial, operational, pricing, product, customer, security,
or strategic information from the other party. Each party agrees to use reasonable care to protect the other party’s
confidential information and to use it only for purposes of the business relationship.
Confidentiality obligations do not apply to information that is public through no breach, already known without restriction,
independently developed without use of the confidential information, rightfully obtained from a third party,
or required to be disclosed by law.
21. Intellectual Property
Wrab Tech owns and retains all rights, title, and interest in and to the Platform, software, source code, object code,
workflows, dashboards, interfaces, UX designs, designs, APIs, documentation, models, algorithms, analytics, reports,
templates, risk scoring methods, safety intelligence methods, data structures, compiled data, Platform Data,
trademarks, logos, product names, and all related intellectual property.
Customer may not copy, modify, reverse engineer, decompile, disassemble, create derivative works from,
or attempt to extract source code from the Platform.
Customer owns Customer Data, subject to Wrab Tech’s rights to process Customer Data as necessary to provide the Services.
22. Feedback
If Customer provides suggestions, ideas, requests, comments, feature recommendations, workflow improvements,
issue reports, or other feedback, Wrab Tech may use that feedback without restriction or compensation,
provided that Wrab Tech does not disclose Customer’s confidential information in violation of applicable confidentiality obligations.
23. Suspension and Termination
Wrab Tech may suspend, throttle, restrict, or terminate access immediately if Wrab Tech reasonably believes that Customer or any user:
- Violated these Terms or the Acceptable Use Policy
- Failed to pay fees when due
- Misused Platform Data
- Scraped, harvested, or automated data extraction
- Attempted competitive use
- Shared credentials or allowed unauthorized access
- Violated law through outreach or Platform use
- Threatened Platform security, integrity, availability, or performance
- Created legal, regulatory, reputational, or operational risk for Wrab Tech or other customers
Either party may terminate a signed agreement for material breach if the breach is not cured within the applicable cure period
stated in the signed agreement.
Upon termination:
- Customer must stop accessing the Platform
- Customer must stop using Platform Data
- Customer must delete Platform Data unless legally required to retain it
- Wrab Tech may delete or return Customer Data in accordance with the applicable agreement and retention obligations
- Fees already paid are non-refundable unless otherwise required by law or expressly stated in a signed agreement
24. Disclaimers
THE PLATFORM, SERVICES, PLATFORM DATA, REPORTS, ANALYTICS, AI OUTPUTS, FINANCIAL OUTPUTS,
RECOMMENDATIONS, ALERTS, AND RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WRAB TECH DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED,
STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, SECURITY,
ERROR-FREE OPERATION, UNINTERRUPTED SERVICE, AND FITNESS FOR CUSTOMER’S PARTICULAR BUSINESS PURPOSE.
Wrab Tech does not provide legal, tax, accounting, payroll, insurance, underwriting, safety, DOT, FMCSA,
employment, compliance, financial, or professional advice. Customer should consult qualified professionals for those matters.
Wrab Tech does not guarantee that use of the Platform will prevent accidents, violations, compliance issues,
financial discrepancies, billing disputes, payroll disputes, chargebacks, insurance issues, underwriting losses,
operational disruptions, regulatory issues, or customer disputes.
25. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WRAB TECH WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL,
SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR LOST-PROFIT DAMAGES, INCLUDING LOSS OF REVENUE,
LOSS OF BUSINESS, LOSS OF GOODWILL, LOSS OF DATA, LOSS OF USE, BUSINESS INTERRUPTION, OPERATIONAL DELAY,
FINANCIAL LOSS, PAYMENT ERROR, BILLING ERROR, PAYROLL ERROR, SETTLEMENT ERROR, OUTREACH LIABILITY,
COMPLIANCE LIABILITY, INSURANCE DECISION, UNDERWRITING DECISION, OR CARRIER DECISION, EVEN IF ADVISED
OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WRAB TECH’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR
RELATING TO THE PLATFORM, SERVICES, THESE TERMS, OR CUSTOMER’S USE OF TRUCKMIND WILL NOT EXCEED THE FEES
PAID BY CUSTOMER TO WRAB TECH IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Customer agrees that it does not rely on the Platform as the sole or final authority for financial, accounting,
payroll, billing, safety, underwriting, dispatch, legal, compliance, or operational decisions.
26. Indemnification
Customer will defend, indemnify, and hold harmless Wrab Tech, its affiliates, officers, directors, employees,
contractors, and agents from and against claims, damages, liabilities, losses, costs, and expenses, including
reasonable attorneys’ fees, arising from or related to:
- Customer Data
- Customer’s use or misuse of the Platform
- Customer’s violation of these Terms, the Acceptable Use Policy, or applicable law
- Outreach, email, SMS, phone, campaign, CRM, or communication practices conducted by Customer
- Customer’s violation of CAN-SPAM, TCPA, privacy laws, Do-Not-Call rules, FMCSA-related obligations, or other regulatory obligations
- Customer’s misuse, overuse, redistribution, resale, scraping, or competitive use of Platform Data
- Customer’s financial, payroll, settlement, billing, dispatch, carrier, underwriting, safety, or compliance decisions
- Unauthorized access caused by Customer’s users, credentials, systems, or failure to secure accounts
27. Changes to These Terms
Wrab Tech may update these Terms from time to time. Updates become effective when posted on the TruckMind website,
dashboard, or signup flow, unless a later date is stated. Continued use of the Platform after updates become effective
means Customer accepts the updated Terms.
For material changes, Wrab Tech may provide additional notice through email, dashboard notice, account notification,
or other reasonable method.
28. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms, the Platform, or the Services will be brought exclusively
in the state or federal courts located in San Joaquin County, California, unless otherwise required by applicable law.
29. Miscellaneous
Customer may not assign these Terms without Wrab Tech’s prior written consent. Wrab Tech may assign these Terms
in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.
Failure to enforce a provision is not a waiver.
These Terms, together with incorporated policies and applicable subscription documents, constitute the agreement
between Wrab Tech and Customer for online signup use of the Platform unless superseded by a signed agreement.
